This shouldn't be in the category 'English laws' surely? It's a United Kingdom Statute that affects all of the United Kingdom. Either that, or it should also be added to the categories Welsh Laws, Scottish Laws, and Northern Irish Laws. 146.176.60.22 20:37, 3 April 2007 (UTC)Luke[reply]

Has anybody had a good look at the new electronic communications requirements? In Wikipedia terms I think the new eCommunications requirements are significant enough to warrant a inclusion.

--- Companies Act 2006:

s1144 Sending or supplying documents or information

(2) Documents or information to be sent or supplied by a company must be sent or supplied in accordance with the provisions of Schedule 5.

SCHEDULE 5 – PART 3 COMMUNICATIONS IN ELECTRONIC FORM Introduction 5 A document or information is validly sent or supplied by a company if it is sent in electronic form in accordance with this Part of this Schedule.

6 A document or information may only be sent or supplied by a company in electronic form— (a) to a person who has agreed (generally or specifically) that the document or information may be sent or supplied in that form (and has not revoked that agreement), or... ---

I myself am specifically looking into how a plc can start sending Annual Reports by e-mail or just publish them on the website instead of mailing hardcopies to all the members (a considerable saving on mailing costs!), but having had a quick nose around I see that eg. Norton Rose's and Trevor SMith's advice differ on the practicalities.

I understand that the new regime will be substantially set out in new regulations to be introduced in 2007 replacing the Companies Act 1985 (Electronic Communications) Order 2000. 1985 Act still in force[edit]

I think the lead paragraph is slightly misleading in saying that the new Act supercedes the Companies Act 1985. It will do, but the 1985 Act is still extant until it is finally repealed with the last implementation order in October 2009. I'm trying to figure out how to word it in the article so that it makes sense but isn't too verbose. If someone else wants to make an attempt at fixing my wording, go for it. Inspections and Investigations sections of the 1985 Act are definitely still in force. That is: Parts XIV & XV except for ss 435,438,440 & 446 are all in force [1] and [2] ISnaith (talk) 16:48, 30 November 2014 (UTC)ISnaith[reply]

Private companies - AGM[edit]

Quote: "Abolition of AGMs - private companies are no longer required to hold Annual General Meetings, although they can elect to provide for them in their articles if they wish". It would be useful if a link to the amended text as it stands today at http://www.legislation.gov.uk/ukpga/2006/46/contents would be posted at the top of the page on the right hand side under those three links. I don't know how to do that.
